May 17, 2009 FSP Board of Directors Meeting Minutes
Meeting called to order at 2:10 PM EST. Jason S., Jean A., Varrin S., Cathleen C., Louis C., Steve C. present.
1. Changes to the budget
a. Add $2500 to general donations, $2500 to advertising expenses - other (FB ads).
b. Discussion of internship program & expected financial outcome. Add $9400 to both income & expenses for internship budget.
c. Discussion of need to re-consolidate two FSP Paypal accounts.
d. Jason moves to adopt budget changes above, Varrin 2nd, motion passes 6-0.
2. Reincorporating in NH.
- 2008 annual filing was late, causing the FSP to lose good standing in NV. It is more costly to update status with NV than to reincorporate in NH & will be easier to maintain a resident agent in NH.
- Therefore, provided that the total costs of reincorporation in NH are smaller than the total costs of restoring status in NV, the FSP should reincorporate in NH.
- Jason so moves, Varrin 2nd, motion passes 6-0.
3. IRS rejected fiscal year change due to technical error, we will follow up with the IRS to fix the problem.
4. Varrin moves to adjourn, Jason 2nds, vote 6-0, meeting adjourned.
